V:I:I:Y END USER LICENSE AGREEMENT

Version 1.0 · Effective date: 28 July 2026

This is the same agreement you accept when installing V:I:I:Y. A copy is also installed with the software as LICENSE.txt. Third-party component notices are in THIRD-PARTY-NOTICES.txt; source code for the open-source components is at viiy.tech/legal/source.

IMPORTANT — PLEASE READ CAREFULLY

This End User License Agreement ("Agreement") is a legally binding agreement between you, either as an individual or on behalf of a legal entity ("User", "you"), and Pravdin Vitalii Fedotovych FOP, Ukraine ("Licensor", "we", "us"), regarding the V:I:I:Y media server software, including its executable files, components, documentation, updates and related services ("Software").

By installing, activating, accessing or using the Software, or by selecting "I accept the agreement", you confirm that you have read, understood and agreed to be bound by this Agreement.

If you do not agree to this Agreement, do not install, activate or use the Software.

1. SOFTWARE PRODUCT

V:I:I:Y is professional media server software for Microsoft Windows intended for playback, composition, mapping, routing and control of video, audio, live inputs, LED screens, projection systems and show-control environments.

V:I:I:Y is software only. Unless expressly stated in a separate written sales agreement, no computer hardware, graphics card, capture card, display device, network equipment or other physical equipment is included.

2. LICENSE GRANT

Subject to payment of applicable fees and compliance with this Agreement, the Licensor grants you a limited, non-exclusive, non-transferable and revocable license to install and use the Software for professional or personal purposes during the applicable license term.

The Software is licensed, not sold. Ownership of the Software and all rights not expressly granted under this Agreement remain with the Licensor.

3. LICENSE TYPES AND ACTIVATION

The specific rights granted to you depend on the license type, subscription, trial, event license or other plan purchased or assigned to your account.

A license may require:

  • online activation;
  • periodic online validation;
  • association with a user account;
  • association with one or more computers;
  • a license key, activation token or hardware identifier.

You may not bypass, disable, modify or interfere with the activation, licensing or validation mechanisms of the Software.

Where the purchased license expressly includes a Main and Backup configuration, the Backup installation may only be used as a redundant or standby system for the same production, installation or operational environment as the Main installation.

A Backup license may not be used as a separate independent production license, unless separately authorised in writing by the Licensor.

4. PERMITTED USE

You may use the Software to:

  • create, edit and operate audiovisual shows;
  • control LED screens, projectors and supported video outputs;
  • play and process media for concerts, theatres, television, installations, exhibitions, corporate events, houses of worship and similar productions;
  • use supported live inputs, timecode, network protocols and external devices;
  • create project files and export reports generated by the Software;
  • make reasonable backup copies of your own project files and configuration.

You are responsible for obtaining all necessary rights to any media, music, video, images, trademarks, performances or other content used with the Software.

5. RESTRICTIONS

You may not, except where expressly permitted by applicable mandatory law:

  • copy, sublicense, rent, lease, resell or distribute the Software;
  • share a license key or account with unauthorised persons;
  • use one license on more computers than permitted by the purchased plan;
  • circumvent licensing, activation or technical protection measures;
  • reverse engineer, decompile or disassemble the proprietary parts of the Software;
  • modify the Software or create derivative products based on its proprietary code;
  • remove copyright, trademark or ownership notices;
  • use the Software to develop or train a directly competing product through automated extraction, systematic analysis or replication of its interface, workflows or proprietary behaviour;
  • use the Software for unlawful, fraudulent or harmful purposes;
  • falsely represent yourself as an authorised distributor, partner or representative of V:I:I:Y.

Nothing in this section limits rights expressly granted under the licenses of third-party open-source components included with the Software.

6. PROJECT FILES AND USER CONTENT

You retain ownership of project files, media and other content that you create or import into the Software.

The Licensor does not acquire ownership of your content merely because it is processed by the Software.

You are solely responsible for:

  • maintaining backup copies of project files and media;
  • verifying file integrity;
  • confirming timecode, cue order, routing, mapping and output settings;
  • confirming that all media and equipment are suitable for the production;
  • complying with copyright and other third-party rights.

7. AI-ASSISTED FEATURES

The Software may include artificial intelligence or automated assistance features capable of analysing project data, creating cues, arranging media, modifying parameters, generating reports or suggesting operational actions.

AI-generated or automated results may be incomplete, inaccurate, unexpected or unsuitable for a particular production.

You must review and approve all material AI-generated changes before relying on them in rehearsal, broadcast, performance or live operation.

The Licensor does not guarantee that AI-generated actions will produce the intended artistic, technical or operational result.

The User remains responsible for all final decisions, project changes, outputs and live-show operation.

The Software may require confirmation before performing certain destructive or high-impact actions. Such safeguards do not replace the User's obligation to maintain backups and review changes.

8. LIVE SHOWS AND MISSION-CRITICAL USE

The Software is designed for professional audiovisual operation, but no software or computer system can be guaranteed to operate without interruption, delay, dropped frames, device failure, data corruption or other malfunction.

Before any live show, broadcast or public event, you must:

  • test the complete project on the intended hardware;
  • verify supported formats, frame rates and output resolutions;
  • verify all external devices and network connections;
  • perform rehearsal and preflight checks;
  • maintain appropriate project and media backups;
  • use a suitable redundant playback or backup system where failure could cause material loss, safety risks or disruption.

The Software must not be used as the sole control system for functions where failure could directly cause death, personal injury, fire, machinery movement, structural damage or other safety-critical consequences.

V:I:I:Y is not a certified safety controller, emergency system, medical device, aviation system or industrial safety system.

9. PERFORMANCE AND HARDWARE COMPATIBILITY

Performance depends on factors including:

  • processor and graphics hardware;
  • graphics drivers;
  • storage speed;
  • operating system configuration;
  • number and resolution of outputs;
  • media codec, frame rate and bitrate;
  • number of simultaneous layers;
  • effects, mapping and scaling;
  • capture devices and network conditions.

Published specifications, demonstrations and benchmark results are indicative only and do not guarantee identical performance on every system.

You are responsible for testing the Software on the exact hardware and project configuration intended for use.

10. UPDATES AND CHANGES

The Licensor may provide updates, patches, bug fixes, compatibility updates and new versions.

Updates may modify, add or remove features where reasonably necessary for security, compatibility, performance, legal compliance or product development.

Unless expressly stated otherwise, purchase of a license does not guarantee access to all future major versions.

The period during which updates are included is determined by the purchased license plan or sales terms.

11. BETA AND PRE-RELEASE VERSIONS

Software identified as beta, preview, test, evaluation or pre-release software may contain defects and unfinished functionality.

Pre-release versions are provided for testing and evaluation and should not be relied upon as the sole playback system for a live production.

Features, project formats and compatibility may change before final release.

12. SUPPORT

Any support services are provided according to the support level included with the purchased license or separately agreed in writing.

The Licensor does not guarantee a specific response time unless a written service-level agreement expressly provides one.

Support may require diagnostic logs, project information, system specifications or other technical information reasonably necessary to investigate an issue.

13. PRIVACY AND DIAGNOSTIC DATA

The Software may process technical data necessary for activation, license validation, updates, support and security.

Depending on the enabled settings, such data may include:

  • Software version;
  • operating system version;
  • hardware identifiers;
  • license status;
  • crash information;
  • diagnostic logs;
  • IP address and connection metadata.

The Software does not intentionally upload the User's media files or project content unless the User expressly submits such files for support or uses a feature that clearly requires transmission.

14. THIRD-PARTY COMPONENTS

The Software includes or interacts with third-party software and technologies, including open-source and proprietary components.

Such components may be governed by separate license terms.

The applicable notices and license texts are provided in the THIRD-PARTY-NOTICES.txt file and the accompanying "licenses" directory installed with the Software.

Where a third-party license grants rights that conflict with a restriction in this Agreement, the third-party license controls solely with respect to that third-party component.

14.1 NDI

The Software includes components of the NDI Software Development Kit, provided under the NDI SDK License Agreement between Vizrt NDI AB and the Licensor. The following terms apply to those components and are required by that agreement.

Copyright in the NDI SDK components included in the Software belongs to NDI, Inc. and Vizrt NDI AB. NDI(R) is a registered trademark of Vizrt NDI AB.

In addition to the restrictions in section 5, you may not:

  • modify the NDI SDK, any NDI product, or any part of either;
  • reverse engineer, decompile, disassemble or recompile the NDI SDK, any NDI product, or any part of either, or otherwise attempt to discover or derive the source code, underlying ideas, algorithms, protocols or structure of the NDI SDK, of any NDI product, or of any protocol used by them, whether that protocol is transmitted over a network or used internally, or attempt to do any of the foregoing;
  • circumvent any technical limitation in the NDI SDK, in any NDI product, or in any part of either;
  • remove, obscure or alter any proprietary notice or label contained on or within the NDI SDK, any NDI product, or any part of either.

If you use the Software to build or operate your own product or service - for example through the V:I:I:Y AI tool interface or its MCP server - you must pass the obligations of this section 14.1 on to the users of that product or service, and your product or service must maintain current and complete NDI compatibility.

To the maximum extent permitted by applicable law, Vizrt NDI AB, NDI, Inc. and their licensors give no warranty of any kind in respect of the NDI components, and disclaim all warranties, express or implied, including any implied warranty of merchantability, fitness for a particular purpose and non-infringement.

To the maximum extent permitted by applicable law, neither Vizrt NDI AB nor NDI, Inc. nor their licensors will be liable for any damages whatsoever, whether direct, indirect, incidental, special or consequential, arising out of or in connection with your use of the Software or of the NDI components.

You must comply fully with all relevant export laws and regulations of the United States and of any other applicable jurisdiction, and must not export or re-export the Software, the NDI SDK or any part of either, directly or indirectly, in violation of those laws.

The Software is not a product of NDI. Nothing in this Agreement grants you any right in the NDI trademarks, and no use of the Software may suggest that Vizrt NDI AB sponsors or endorses it or your work.

15. INTELLECTUAL PROPERTY

The Software, its proprietary source code, interface design, logos, trademarks, documentation and related materials are protected by copyright, trademark and other intellectual-property laws.

V:I:I:Y, VIIY and associated logos are trademarks or pending trademarks of the Licensor.

No trademark rights are granted under this Agreement.

16. WARRANTY DISCLAIMER

To the maximum extent permitted by applicable law, the Software is provided "as is" and "as available".

The Licensor does not warrant that:

  • the Software will be error-free or uninterrupted;
  • every media file or third-party device will be compatible;
  • all defects will be corrected;
  • outputs will always be frame-perfect under every hardware configuration;
  • the Software will meet every specific production requirement.

Nothing in this Agreement excludes any warranty, consumer right or statutory protection that cannot lawfully be excluded.

17. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, the Licensor will not be liable for indirect, incidental, special, punitive or consequential losses, including loss of profit, revenue, contracts, business opportunity, reputation, media, project data or production time.

The Licensor will not be liable for costs arising from:

  • cancellation, delay or interruption of a performance or broadcast;
  • failure of hardware, drivers, operating systems, networks or third-party equipment;
  • incorrectly configured cues, outputs, mapping or timecode;
  • unauthorised or unreviewed AI-generated actions;
  • failure to maintain suitable backups or redundancy;
  • use outside published requirements.

To the maximum extent permitted by law, the Licensor's total aggregate liability arising from the Software will not exceed the amount actually paid by you for the applicable license during the twelve months preceding the event giving rise to the claim.

This limitation does not apply where liability cannot lawfully be limited, including liability for intentional misconduct or other mandatory statutory liability.

18. INDEMNITY

To the extent permitted by applicable law, you agree to indemnify the Licensor against third-party claims arising from:

  • media or content used by you without sufficient rights;
  • unlawful use of the Software;
  • breach of this Agreement;
  • unsafe integration of the Software into machinery or safety-critical systems;
  • unauthorised distribution or sublicensing.

19. TERMINATION

This Agreement remains in effect until terminated.

The license may be suspended or terminated if you materially breach this Agreement, misuse activation systems, distribute unauthorised copies or fail to pay applicable license fees.

Where reasonably possible, the Licensor may provide an opportunity to remedy the breach before termination.

Upon termination, you must stop using the Software and uninstall all copies, except that termination does not affect rights granted directly by applicable third-party open-source licenses.

20. EXPORT AND SANCTIONS COMPLIANCE

You may not use, export, re-export or transfer the Software in violation of applicable export-control, sanctions or trade-control laws.

You represent that you are not prohibited from receiving or using the Software under laws applicable to you or the Licensor.

21. GOVERNING LAW

This Agreement is governed by the laws of Ukraine, excluding conflict-of-law rules.

Any dispute arising from this Agreement will be submitted to the competent courts of Ukraine, unless mandatory consumer-protection law provides the User with the right to bring proceedings in another jurisdiction.

The United Nations Convention on Contracts for the International Sale of Goods does not apply.

22. CHANGES TO THIS AGREEMENT

The version of this Agreement accepted at the time of installation or purchase applies to that Software version.

The Licensor may update this Agreement for future versions, services or license renewals. Material changes will be presented before they become binding where required by law.

23. SEVERABILITY

If any provision is held invalid or unenforceable, the remaining provisions remain in effect. The invalid provision will be interpreted as closely as possible to its lawful intended purpose.

24. ENTIRE AGREEMENT

This Agreement, together with the applicable order, license plan, Privacy Policy and Third-Party Notices, constitutes the entire agreement concerning the Software, unless the parties have signed a separate written agreement.
