This End User License Agreement ("Agreement") is between you and Vitalii Pravdin, sole proprietor (FOP) ("we", "us"), for the VIIY software and its documentation ("Software"). By installing or using the Software you agree to it. If you do not agree, do not install or use the Software.
Subject to this Agreement and a valid license, we grant you a non-exclusive, non-transferable, revocable license to install and use the Software for your own production work. A license is node-locked and covers a Main + Backup machine pair. A separate, parallel show on independent machines requires an additional license.
The Software must be activated online with a license key. Activation binds the license to your computer via a one-way Machine ID, as described in the Privacy Policy. An activated machine continues to run through an offline grace period; a running show is not interrupted by license checks.
The Software is licensed, not sold. We and our licensors retain all rights, title and interest in the Software, including all intellectual-property rights. The content you create with the Software (your projects, media and shows) remains yours.
The Software includes third-party components under their own licenses — including Qt, FFmpeg (LGPL builds), NDI, Blackmagic DeckLink and Spout. Those components are provided under their respective terms, which are listed in the THIRD-PARTY-NOTICES included with the installed Software. Your use of NDI and Blackmagic functionality may require their respective runtimes and is subject to their terms.
The optional AI Showbuilder requires your own third-party AI-provider API key and sends the materials you choose to that provider under your account and their terms. You are responsible for having the rights to the materials you submit and for your use of the generated output.
We may provide updates at our discretion. This Agreement covers any updates unless they come with separate terms.
This Agreement applies for the term of your license. A time-limited license ends when its term expires. We may terminate the license if you materially breach this Agreement. On termination you must stop using and remove the Software. Provisions on ownership, disclaimers and liability survive.
The Software is provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement, to the maximum extent permitted by law. You are responsible for testing the Software for your own show and for maintaining appropriate backups and contingencies.
To the maximum extent permitted by law, we are not liable for indirect, incidental, special or consequential damages, or for lost profits, lost data, or show interruption. Our total aggregate liability under this Agreement is limited to the amount you paid for the license in the 12 months before the claim. Nothing here limits liability that cannot be limited by law.
You agree to use the Software in compliance with applicable export-control and sanctions laws.
This Agreement is governed by the laws of [Ukraine], without regard to conflict-of-law rules, subject to any mandatory law of your country of residence.
